The Filthy Rich Summit
VIP Package and Competition Terms
Last updated: 22 October 2026
These terms cover the VIP package for The Filthy Rich Summit on 10 November 2026 and the related business pitch competition. Please read them before buying or entering and keep a copy.
The first-place benefit is a conditional opportunity to negotiate an equity investment of up to US$50,000 from Sam Stoffel. The final investment amount and the percentage of the business Sam receives must be agreed following due diligence and set out in signed contracts. The negotiation and due diligence period is up to six calendar months from written notification of selection, subject to the earlier withdrawal and written extension provisions in section 9. Selection does not guarantee that an investment will complete or entitle anyone to a cash payment.
1. Who we are and how these terms apply
1.1 The organiser and promoter is Stoffel Media Group Limited, registered in England and Wales under company number 16101813, with its registered office at 71-75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom. Contact us at sam@samstoffel.com. References to “we”, “us” and “our” mean that company.
1.2 These terms apply specifically to this VIP package and competition. They take priority over any conflicting general website terms concerning them, including the general terms’ competition provisions. Other programmes, memberships, purchases and later investment contracts have their own terms.
1.3 Nothing here removes a legal right that cannot lawfully be excluded. We remain responsible for delivering the package and administering the competition as advertised and on the terms disclosed before purchase. These terms do not retrospectively reduce rights acquired under an earlier purchase or entry.
1.4 Your contract for this package and competition is with Stoffel Media Group Limited. Sam Stoffel and our directors, employees, judges and representatives do not personally guarantee the company’s obligations merely by presenting, promoting or administering the event. Any later investment contract binds the parties identified in that contract. This provision does not exclude anyone’s liability for their own fraud or any other liability that cannot lawfully be excluded.
2. Your VIP package
2.1 The advertised VIP price is a single payment of US$29. Your total payable price, including applicable taxes and any mandatory charges, will be shown before payment. There is no subscription or automatic renewal. Your bank may apply its own currency conversion or transaction charges.
2.2 Your contract is formed when we accept your order by sending confirmation or providing access, whichever happens first. If we take payment but cannot accept the order, we will refund it promptly.
2.3 The package includes the private VIP livestream of the Summit, the VIP Launch Aftershow with a business masterclass and Q&A, the digital edition of Sam’s Secrets, pre-event concierge contact from our team, access to the recording of the VIP session, and the opportunity for eligible VIPs to enter the competition before its deadline. You retain the benefits of your free Summit registration, subject to their stated conditions. The mystery gift requires live attendance as advertised.
2.4 The Summit takes place online on Tuesday 10 November 2026. The VIP Launch Aftershow is scheduled for 8.30 pm UK time, following the main Summit. On that date, UK time is GMT and 8.30 pm GMT is 3.30 pm US Eastern Standard Time. Minor running-time changes may occur. Access instructions will be sent to your registered email address or made available in your VIP HQ.
2.5 Sam’s Secrets is supplied digitally through your VIP HQ following purchase. The VIP recording will be made available within seven calendar days after the event, by 17 November 2026, and remain accessible for 90 calendar days from the date it is first made available. We will notify you when it is available and state the access expiry date. Any longer access period expressly promised when you bought will be honoured. A digital book you are authorised to download may be retained for your own use under section 14. Continued hosting of the VIP recording after the stated access period is not included in the package.
2.6 Chat and Q&A access provide an opportunity to submit questions and interact during the event. We select questions according to available time, relevance and usefulness to attendees; an individual answer or personal consultation is not guaranteed. Concierge support concerns event access and preparation, and does not include ongoing business consultancy.
3. Access and participation
3.1 You must be at least 18 and legally able to make this purchase. Access is for one named attendee. Keep your login and joining links secure and do not share, resell or transfer them without our written agreement.
3.2 You are responsible for providing accurate contact details and having suitable internet access, a compatible device and any reasonably necessary platform account. Tell us promptly if you cannot access something we have supplied. A problem with your own device or connection does not automatically entitle you to a refund; a failure for which we are responsible remains subject to your legal rights.
3.3 We may moderate questions and chat, remove unlawful or abusive content, and restrict access where reasonably necessary to address serious disruption, harassment, fraud, unlawful activity or material misuse. Our response will be proportionate. Where practicable, we will explain the issue and allow it to be corrected. We will not remove someone merely for making a complaint or expressing fair criticism.
3.4 Missing the event, not using a bonus, receiving an unfavourable review or not winning does not create an additional refund entitlement. Statutory cancellation rights and remedies for our failure to deliver are unaffected.
3.5 If payment fails or is reversed, or there is evidence of unauthorised access or payment fraud, we may suspend the affected access while we investigate. Where lawful and practicable, we will notify you and allow a reasonable opportunity to resolve the issue. We may terminate access for a material payment breach that remains unresolved after reasonable notice, or for established fraud. A genuine payment dispute or lawful chargeback is not by itself evidence of wrongdoing, and this provision does not remove any statutory remedy or automatically cancel a confirmed prize.
4. Cancellation and refunds
4.1 Any statutory cancellation right depends on the law applicable to your purchase. Where the UK Consumer Contracts Regulations 2013 apply, a consumer normally has 14 days after the day the contract is made to cancel an online purchase without giving a reason, subject to any lawful exception. Mandatory rights under other applicable laws are preserved. This section does not create an additional contractual cooling-off right where none applies by law. To exercise a cancellation right, email sam@samstoffel.com with your name and order details, or send us any other clear statement of cancellation. The optional notice in section 18 may be used.
4.2 For digital content supplied during that period, your cancellation right for that content ends when supply begins only if you have expressly consented to early supply, acknowledged the loss of that right, and received the legally required confirmation. Accepting these terms alone is not that separate consent. Accessing the book does not automatically remove cancellation rights for all other parts of the package.
4.3 Where you expressly request services to begin during the cancellation period and have received the required information, we may charge a lawful, proportionate amount for services actually provided before cancellation. The cancellation right for a service ends on full performance only where the necessary advance request and acknowledgement have been obtained. We will not deduct a notional value for the chance to win a prize.
4.4 We will make any refund due following statutory cancellation within the applicable legal period; under the UK rules described above, this is normally within 14 days after you inform us, using the original payment method unless otherwise agreed and without a refund fee. We do not offer an additional change-of-mind, satisfaction or results-based guarantee beyond these terms and your legal rights.
4.5 Cancelling the whole VIP order before judging withdraws the associated competition entry, unless applicable law requires otherwise. We will not penalise the exercise of a legal cancellation right or automatically cancel an already confirmed prize merely because a payment is disputed. Genuine payment fraud or a material eligibility failure may be investigated under section 8.
4.6 Buying for business purposes does not itself establish that you have no consumer rights; your status is determined by the applicable law and the circumstances of the purchase.
5. Competition eligibility
5.1 The competition is open worldwide to paid VIP ticket holders aged at least 18 and at least the age of majority where they live, subject to these terms and applicable legal restrictions. Entry is not permitted where offering the competition, participating in it or providing the relevant benefit would be unlawful, including where a required local licence, registration or authorisation is not in place. A person is also ineligible to receive a benefit where doing so would breach applicable sanctions or other legal restrictions. The law of England and Wales governs these terms as set out in section 17.2; that choice does not override mandatory local laws. We may request residence and eligibility evidence and will apply legal restrictions consistently, without excluding someone merely for our convenience.
5.2 Our employees and officers, contractors directly involved in organising or judging the competition, the judges themselves, and their immediate families and household members may not enter. Immediate family means a spouse or partner, parent, child or sibling. Entrants must disclose a personal or financial connection with a judge that could reasonably affect impartiality so that any conflict can be managed before judging.
5.3 You may enter an existing business or a genuine business idea. You must own it or have authority from the relevant owners to submit it. You must be genuinely willing to discuss an investment in exchange for an agreed ownership percentage. Entry does not bind you to accept any particular valuation, investment amount or equity percentage.
5.4 One entry is permitted per person and per business or idea. Additional purchases, accounts, co-founder entries or later programme purchases do not improve your ranking. No purchase beyond the advertised VIP package is required to enter or be selected.
5.5 We may request reasonable evidence of eligibility, authority, ownership and the accuracy of material statements. A business or transaction that is unlawful, infringes another person’s rights or cannot lawfully receive the proposed investment is not eligible for that investment. We will apply these restrictions on evidence and in accordance with section 8.
6. Entry period and pitch requirements
6.1 Entries open at 5 pm British Summer Time on Thursday 22 October 2026 and close at 12 noon Greenwich Mean Time on Tuesday 10 November 2026, equivalent to 7 am US Eastern Standard Time on the closing date. Both the opening and closing times are UK local time on their respective dates. Entries must reach the pitch form in the VIP HQ during that period and before the closing deadline. Buying VIP does not submit a pitch automatically.
6.2 Submit a substantive business pitch addressing the customer problem, your proposed solution, the market and revenue model, relevant evidence or assumptions, your plan for growth, how you would use investment, and your ability to carry out the plan. You may state an indicative investment amount and equity percentage you would be prepared to discuss. Those figures are proposals only.
6.3 The competition requires business judgement and a developed pitch. A name, contact details or unsupported slogan is not a complete entry. Follow the form’s published format and word limits. Material format requirements will be available before purchase and entry and will not be introduced retrospectively.
6.4 Information must be honest and not misleading. Clearly distinguish forecasts, estimates and assumptions from actual results. Do not submit fabricated evidence, someone else’s work without permission, or confidential third-party information. You remain responsible for any assistance used to prepare the entry.
6.5 If you submit a replacement before the deadline, only your latest complete entry will be judged. We may seek clarification or evidence afterwards, but will not allow an entrant to gain an unfair advantage by materially rewriting their pitch after closing.
6.6 Keep your submission confirmation. If the form fails, contact us immediately with evidence of the problem. We may provide a fair alternative submission method where necessary to resolve a verified fault. The deadline may change only where unavoidable circumstances outside our control require it and the change does not unfairly disadvantage people who entered or tried to enter on time. Low entry numbers are not a reason to extend it.
7. Judging and ranking
7.1 This is a competition judged on merit. No random draw or random tie-break is used. Sam will personally read the pitches.
7.2 The six highest-ranked eligible entries receive the six ranked benefits described below, subject to verification and the stated conditions. No entrant or business receives more than one ranked benefit. If fewer than six valid eligible entries are received, only those entries can receive a ranked benefit.
7.3 The panel’s assessment of merit is final within the competition process. We are not obliged to provide individual feedback, comparative scores or confidential judging deliberations, except where disclosure is legally required. We will investigate credible concerns about a material scoring error, conflict of interest, fraud or failure to follow these rules. This does not limit access to a court, regulator or other legal remedy.
8. Results and verification
8.1 We will email provisionally selected entrants at the address supplied with their pitch by 17 November 2026. Any earlier announcement remains subject to the checks and conditions expressly stated in these terms. Watching live or responding immediately during the event is not a condition of winning.
8.2 To claim a prize or the investment opportunity, you must reply to our written selection notification within 48 hours, confirming that you wish to accept the specific benefit offered on these terms. The period starts when we send the notification to the email address supplied with your entry, subject to section 8.3. It includes weekends and public holidays. The notification will state the exact response deadline and time zone. You are responsible for keeping your contact details accurate and checking your inbox and junk folder. A request for information or more time does not itself extend the deadline; an extension must be confirmed by us in writing.
8.3 We will make reasonable contact attempts, including at least one reminder during the response period and, where reasonably practicable, use another contact method you supplied. A reminder does not restart the 48-hour period. If we become aware that the initial notification was not delivered, we will make reasonable attempts to use another supplied contact method and give a fresh 48-hour period from a replacement written notification. If no working contact method can be established after reasonable attempts, we may treat the offer as unclaimed. We may allow an extension in writing for exceptional circumstances and will make any adjustment required by law or by a failure on our part.
8.4 If you decline the offered benefit, fail to accept it within the 48-hour period without a written extension, or otherwise validly forfeit it under these terms, you lose that offer. You do not receive a different or lower-ranked prize, a cash alternative, a refund merely because of that outcome, or another chance in a later reallocation. This also applies if you accept the conditional investment opportunity but it is later validly withdrawn under section 9. It does not remove a statutory remedy or a claim arising from our breach of contract.
8.5 We will offer a declined or unclaimed benefit to the next eligible entrant in the original merit ranking, applying the same verification, 48-hour acceptance period and relevant benefit conditions. We may also use this process following disqualification or withdrawal under section 9. We will skip entrants who have already accepted or received a ranked benefit, or who have declined or validly forfeited an earlier offer. The process may be repeated until an eligible entrant accepts or the eligible reserve list is exhausted. No entrant is entitled to more than one ranked benefit, and confirmed prizes are not automatically upgraded or taken away because another entrant declines.
8.6 Accepting within 48 hours reserves the offered benefit subject to verification and its stated conditions. It does not require completion of due diligence, acceptance of unknown investment terms or signed investment contracts within that period. Requests for verification documents will specify reasonable deadlines appropriate to the information requested. The separate investment process in section 9 applies after timely acceptance.
8.7 We may reject or disqualify an entry for a material eligibility breach, dishonest information, plagiarism, manipulation, duplicate entry abuse, or failure to provide reasonably necessary verification. Suspicion alone is not conclusive. Where lawful and practicable, we will explain the issue and allow a reasonable opportunity to respond or correct an innocent administrative mistake.
8.8 We do not charge a fee to release a prize. Tell us if someone requests one. We will never require a further course purchase, testimonial or marketing consent as a condition of receiving a prize.
9. First place and the conditional investment opportunity
9.1 First place receives a genuine opportunity to negotiate an equity investment of up to US$50,000 from Sam Stoffel, personally or through an entity he controls, together with a potential business relationship with him. The US$50,000 figure is the maximum potential investment, not a guaranteed cash prize, grant, minimum investment or agreed valuation. There is no entitlement to receive that amount personally.
9.2 Investment is in exchange for an ownership percentage in the relevant business. The final investment amount, valuation, percentage and class of shares, voting and governance rights, any founder obligations, payment timetable, conditions and scope of Sam’s involvement will be negotiated and agreed in writing following due diligence. No equity percentage is fixed by buying VIP, entering, being selected or making an initial proposal.
9.3 Any pitch discussion, provisional selection, announcement, indicative offer, handshake or heads of terms is subject to contract. No binding investment commitment arises until definitive investment documents are signed by all necessary parties. Any obligation to pay funds, issue shares or complete the transaction is then governed by those documents and their conditions. A preliminary document may create a specific binding obligation, such as confidentiality, only if it expressly says so. Event staff and concierge communications do not commit Sam or a proposed investor to a transaction. The obligations to administer this competition properly remain binding.
9.4 The selected entrant must be willing and legally able to issue or transfer the agreed equity and obtain necessary co-founder, shareholder, director, lender or other approvals. An idea without an appropriate business entity may require one to be established as part of the agreed transaction. Entry alone creates no partnership, agency, employment or fiduciary relationship.
9.5 Due diligence may examine identity and ownership, accounts and forecasts, debts and liabilities, tax, intellectual property, contracts, disputes, regulatory requirements, information supplied in the pitch, and other matters reasonably relevant to the investment. It may also include checks required to comply with sanctions and financial crime laws. Requests must be proportionate to the business and proposed transaction.
9.6 Sam and the proposed investing entity retain commercial discretion over whether the findings support an investment and whether acceptable terms can be agreed. They may propose different amounts or equity terms, or decline to proceed because of material due diligence concerns, a material adverse change in the business, missing approvals, legal restrictions, materially misleading information, an unreasonable failure to cooperate with necessary checks, or a genuine failure to agree commercial terms. The entrant may also decline proposed terms. Neither side must accept terms it finds commercially unacceptable.
9.7 That discretion will be exercised honestly, reasonably and for genuine commercial or legal reasons. We will provide a meaningful opportunity to supply information, take advice and negotiate. Any proposed terms must be consistent with the nature of the investment opportunity disclosed before entry.
9.8 The deadline for agreeing the investment terms, completing due diligence to the proposed investor’s reasonable satisfaction and signing definitive investment contracts is six calendar months from the written selection notification that starts the acceptance period under section 8. We will state the actual deadline in that notification. It falls at 11.59 pm UK time on the corresponding date six months later, or the last day of that month if there is no corresponding date. This is a maximum negotiation period, not a guarantee that discussions will continue for six months. Agreeing principal terms alone does not create a binding investment contract or extend the deadline. Payment dates and any remaining completion conditions belong in the definitive contracts.
9.9 We will start the process promptly after the selected entrant accepts the invitation. Before a binding investment contract is signed, the opportunity may be withdrawn before the six-month deadline for a reason in section 9.6, or if the entrant declines or is disqualified under section 8. We will give written notice identifying the basis, subject to any lawful restriction on disclosure. Where an issue is capable of being resolved, we will normally identify it and allow a reasonable opportunity to address it before withdrawal. There is no obligation to continue negotiations after a genuine commercial deadlock or where proceeding would be unlawful. Section 9.7 applies throughout.
9.10 If the deadline expires without satisfactory due diligence and signed definitive contracts, we may close the negotiations and withdraw the opportunity by written notice. We may then offer it to the next eligible entrant under section 8.5; the same reallocation right applies following an earlier valid withdrawal. A replacement entrant must accept within the 48-hour period and then has their own negotiation period of up to six calendar months from written notification, subject to the same conditions and earlier withdrawal provisions. We may agree an extension in writing where progress or outstanding checks justify it; an extension is not automatic and silence does not grant one. We will allow an appropriate extension where our own material delay would otherwise prevent compliance. We need not resume negotiations after a valid withdrawal. Once a binding investment contract has been signed, its terms govern termination and completion; this competition deadline does not cancel it.
9.11 If no deal is agreed, due diligence is unsatisfactory on reasonable grounds, a deadline is missed or a required condition is not met, the investment may not proceed. Selection does not then create an automatic right to cash, another prize, compensation for the proposed investment or a demand that Sam accept particular terms. This does not exclude a remedy for misrepresentation, bad faith, breach of an obligation we actually owe, or another non-excludable legal right.
9.12 An entrant should obtain their own legal, financial and tax advice before signing. Optional independent advice is at their expense unless agreed otherwise. Any necessary incorporation or transaction costs and their allocation must be disclosed and agreed before a commitment is made; we will not charge an undisclosed fee simply to claim the opportunity.
9.13 Any agreed investment is intended for the business and its agreed purposes. Sam’s continuing role, time commitment, introductions, team involvement and promotional support will be set out in the investment agreement. Access to his audience does not mean ownership of that audience or an unlimited right to advertising, introductions or staff time. There is no guarantee of revenue, profit, funding rounds or business success.
9.14 During the process, the selected entrant must cooperate with proportionate verification requests, provide accurate and complete material information within reasonable notified deadlines, and promptly disclose material changes affecting the business, ownership, eligibility or proposed investment. A request for more time must explain the reason before the relevant deadline where practicable. Reasonable confidentiality arrangements may be required before either party shares sensitive due diligence information. Signing an investment contract, confidentiality agreement or other document requires separate agreement; entry does not accept terms that have not yet been supplied.
10. Second to fifth place and the London experiences
10.1 Second place receives a private day in London with Sam and his team. Third, fourth and fifth place attend together on one group day. Each experience includes lunch, work on the winner’s personal brand and business, a tailored business roadmap, and a helicopter element subject to the safety and operational conditions below.
10.2 Each prize is for the named winner. We arrange and pay for necessary standard return travel from the winner’s country of residence, economy flights where appropriate, suitable hotel accommodation for the nights reasonably required by our itinerary, meals during that itinerary, required airport and local transfers, and necessary visa fees and standard travel insurance for the agreed trip. Travel providers, routes, hotel and itinerary are selected by us reasonably, taking account of the winner’s circumstances.
10.3 Additional guests, upgrades, unrelated activities, shopping, personal spending, optional trip extensions and lost earnings are not included. Any costs payable by the winner must be explained before arrangements are agreed. Please do not book independently expecting reimbursement without written approval, except where the law requires us to meet a reasonable cost.
10.4 Experiences will take place by 10 May 2027. We will arrange dates after reasonable consultation with the winners and give reasonable notice, taking account of travel arrangements. The group-day winners must attend together; individual substitute days are not included. Tell us promptly about genuine availability, accessibility or travel difficulties so we can consider reasonable arrangements. Repeated refusal of reasonable arrangements without good reason may be treated as declining the prize, after written notice and a reasonable opportunity to respond.
10.5 Winners must have appropriate travel documents and comply with lawful entry requirements. We will provide reasonable help with the booking process but cannot guarantee a visa or admission by border authorities. If travel becomes impossible, we will discuss a reasonable alternative before considering reallocation. A winner who, without good reason, fails to attend a confirmed arrangement may lose that experience; we will consider the circumstances fairly.
10.6 The helicopter element is a local UK flight or transfer from an agreed suitable location. It is not an international helicopter journey or a guaranteed pickup from a private address. Flights depend on weather, aircraft availability, permissions and the operator’s safety requirements. The pilot or operator has the final decision on whether a flight can safely proceed.
10.7 We will explain relevant passenger requirements before booking and consider reasonable adjustments. If the helicopter element cannot safely operate, we will arrange suitable ground travel for the business day and seek to reschedule that element or provide a reasonable equivalent. Ground transport alone will not automatically replace the value of an omitted flight. Nothing requires an unsafe journey or excludes liability that the law does not permit us to exclude.
10.8 A stated day rate describes Sam’s usual pricing or the advertised comparison; it does not give a winner a right to that amount in cash or a guaranteed commercial return from the day.
10.9 Winners must comply with reasonable, notified venue, transport and safety requirements. Providers may refuse an unsafe activity, including where a participant is intoxicated or unable to meet a necessary safety requirement. Tell us about relevant accessibility or safety needs in good time so we can consider appropriate arrangements, without requiring unnecessary medical details. Travel insurance is subject to the insurer’s terms, limits and exclusions, which will be supplied before the trip; it is not an unlimited promise to meet medical or other personal expenses. Nothing here removes a responsibility we have by law.
11. Sixth place and the filming kit
11.1 Sixth place receives one new creator filming kit comprising an iPhone 18, a professional microphone setup, a studio lighting kit, a tripod and a compatible phone mount. We select the accessory brands and models, and the phone’s standard storage and colour, consistently with the advertised description and suitability for creating content.
11.2 We will arrange delivery within 30 days after the competition closes, subject to timely receipt of the winner’s delivery details. We cover normal delivery charges and necessary import duties or import taxes. Report missing or damaged items promptly so we can put matters right. Manufacturer warranties apply alongside any rights the winner has against us.
11.3 If a specified item becomes genuinely unavailable for reasons outside our reasonable control, we may substitute an item of equal or greater retail value and comparable function and quality. We will explain the change and will not use substitution to materially reduce the prize.
12. Live social media roasts
12.1 The five live social media roasts are a separate editorial feature of the VIP Aftershow. Use the optional tick box on the pitch form to put yourself forward. Entering the main competition does not automatically opt you in, and choosing not to participate has no effect on your competition ranking.
12.2 We select participants by the teaching value of their profiles, the range of businesses represented and suitability for a live review. Selection is not random. We intend to feature five consenting VIPs, subject to enough suitable volunteers participating and the practical running of the session. This feature is separate from the six ranked competition benefits.
12.3 A roast involves frank, potentially humorous criticism and may include strong language. It is educational opinion, not a guarantee of improvement or a professional assessment. We will not knowingly make false factual allegations or use this format to justify unlawful abuse.
12.4 We will explain recording and sharing arrangements before a selected participant confirms. They must have permission to show the relevant account and material. Permission to participate in an attendee replay is separate from any optional permission to use their identifiable contribution in wider advertising.
13. Changes and circumstances outside our control
13.1 We may make reasonable administrative changes to the event, platform, itinerary or delivery arrangements where necessary for technical, legal, safety or other genuine operational reasons. We will tell affected customers promptly and preserve the substance and value of what was promised.
13.2 If we cancel a material paid element or make a substantial change you cannot reasonably accept, we will offer an appropriate replacement or a refund for the affected element. If this removes the main benefit of the package, a full refund may be due. Your statutory rights apply, and you do not have to accept a replacement where the law entitles you to a refund.
13.3 Competition rules and deadlines cannot be changed simply because we prefer different terms or receive fewer entries than expected. A necessary exceptional change will be communicated clearly, protect existing entrants and comply with applicable advertising and consumer law. New conditions that would materially affect a decision to buy or enter will not be imposed retrospectively.
13.4 Fraud affecting the process, a serious platform failure, legal prohibition or a comparable event may require us to suspend the affected part while we address it. We will take reasonable steps to resume or provide a fair alternative. Such events do not automatically entitle us to retain payment for undelivered services or withhold a confirmed prize. A temporary delay does not remove responsibility for fulfilment.
13.5 Prizes are not transferable without our agreement and cannot be exchanged for cash at the winner’s request. Where fulfilment genuinely becomes impossible, we may offer a reasonable equivalent or a cash alternative of equivalent value. This does not turn the conditional investment opportunity into a guaranteed US$50,000 award, and it does not permit us to replace a prize merely to reduce our costs.
14. Intellectual property and submitted information
14.1 We and our licensors retain ownership of our book, recordings, materials and branding. You receive a personal, non-exclusive licence to use the supplied materials for your own learning and in your own business. Do not redistribute, resell, publicly upload, share access to, or make unauthorised recordings of them. Rights the law expressly permits remain unaffected.
14.2 You retain ownership of your pitch, business, brand and existing intellectual property. Entry does not transfer equity or give us a right to exploit your business idea. You give us a limited, royalty-free licence to copy and share your submission with the judges, relevant advisers and proposed investor as reasonably necessary to assess it, verify it and administer the competition.
14.3 The initial pitch process is not conducted under a non-disclosure agreement. Do not include trade secrets or personal information unnecessary for judging. We will handle submissions with appropriate safeguards and will not publish a full private pitch without permission, apart from lawful disclosures. Separate confidentiality arrangements may be agreed before detailed investment due diligence.
14.4 We and our other businesses may independently develop or encounter similar ideas. Similarity alone does not create an obligation to invest or pay compensation, but this provision does not authorise misuse of confidential information or infringement of intellectual property.
14.5 Entering, attending or being selected does not authorise use of our or Sam’s names, image, logos or branding to imply an endorsement, completed investment or continuing partnership. Any agreed promotional use must accurately describe the relationship and comply with written permissions. Truthful references permitted by law are unaffected.
15. Recording publicity and personal data
15.1 We record sessions to provide the promised replays. Contributions made on microphone, camera or in visible chat may appear. We will give appropriate notice and explain available participation choices. Contact us in advance if you wish to avoid an identifiable contribution. Wider use of an identifiable testimonial, roast or participant appearance in advertising will require separate permission where appropriate.
15.2 We process entry, contact and verification information to administer the package and competition, carry out necessary checks, fulfil prizes and comply with legal obligations. Our Privacy Policy at https://event.samstoffel.com/privacy-policy explains the relevant lawful bases, recipients, retention arrangements, international transfers and your rights. Acceptance of these terms is not blanket consent to unrelated marketing.
15.3 To demonstrate that valid awards took place, we will make appropriate winner information available on request for 90 days after confirmation, normally surname and county or equivalent region, together with a non-confidential description of the winning entry. You may object to publication or ask us to reduce the information by emailing sam@samstoffel.com. We will consider privacy and safety concerns and may withhold public details, while providing necessary evidence to the Advertising Standards Authority or another competent regulator if required.
15.4 Further interviews, endorsements and promotional appearances are optional unless a specific participation requirement was clearly disclosed before entry and is lawful. Declining optional marketing does not affect judging or a confirmed prize.
16. Responsibility and liability
16.1 We will provide the package with reasonable care and skill. The event, materials and feedback are general education and opinion, not personal legal, tax, accounting or regulated investment advice. You remain responsible for your business decisions and for obtaining advice suited to your circumstances. Examples of earnings or previous success do not guarantee comparable results, and no particular income, audience growth or commercial outcome is promised.
16.2 Nothing excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, breach of non-excludable consumer rights, or any other liability that cannot lawfully be limited.
16.3 For consumers, we are responsible for loss that is a foreseeable result of our breach or failure to use reasonable care and skill. We are not responsible for losses that were not reasonably foreseeable or losses caused solely by your own breach. Your statutory remedies and our responsibility for fulfilling confirmed prizes remain unaffected.
16.4 For a customer purchasing wholly or mainly for business purposes, and subject to section 16.2 and any requirement of reasonableness, we exclude indirect or consequential loss and loss of profit, revenue, opportunity or goodwill. Our aggregate liability for the educational content and event access is limited to the amount paid for the VIP package. That cap does not apply to our obligations concerning the competition, prize fulfilment or any separate signed investment agreement.
16.5 We are not responsible for the quality of an entrant’s business or decisions made independently by another attendee. Using a third-party platform or provider does not remove responsibility we owe for our own contractual obligations or negligence.
16.6 A winner is responsible for any personal or business tax arising from receiving or using a benefit, except taxes we expressly agree to cover. We may make disclosures or deductions required by law and will explain them where permitted. This does not allow us to deduct our own administration costs from a promised prize.
16.7 This paragraph applies only to customers purchasing wholly or mainly for business purposes. You will reimburse us for reasonable losses and legal costs actually incurred in dealing with a third-party claim caused by your fraud, a knowing or reckless material misstatement, your submission of material without the necessary rights, or your material infringement of our rights under section 14. This does not cover a loss to the extent caused by our or the protected person’s negligence, breach or misconduct. We will notify you reasonably promptly, take reasonable steps to reduce the loss and give you a reasonable opportunity to participate in defending the claim. We will not agree a settlement for which we seek reimbursement without your consent, not to be unreasonably withheld or delayed. Section 16.2 and any applicable legal requirement of reasonableness apply.
16.8 No person may recover twice for the same loss. Where a limitation in this section applies to claims arising from the same event against both us and a person protected under section 17.5, it applies to those claims in aggregate to the extent lawful. This does not expand a limitation to an obligation or loss it does not otherwise cover.
17. Complaints and general provisions
17.1 Send questions or complaints to sam@samstoffel.com with enough information for us to investigate. We aim to acknowledge a complaint within five working days and respond substantively within 20 working days, or explain any further time reasonably needed. Contacting us first does not remove a legal right or mandatory time limit.
17.2 These terms are governed by the law of England and Wales. The courts of England and Wales have jurisdiction, subject to any mandatory right of a consumer to bring proceedings in their home courts or rely on protections of their country of residence. Businesses agree to the exclusive jurisdiction of the courts of England and Wales.
17.3 If a provision cannot lawfully apply, the rest continues so far as it can do so fairly and lawfully. Not immediately enforcing a provision does not waive it. We may use service providers or an investment vehicle without reducing our responsibilities. A transfer of our contract to another organisation must not materially reduce your rights.
17.4 Future updates apply prospectively. The terms and material information supplied when you bought or entered continue to govern that purchase or entry unless a change is validly agreed or permitted under section 13. A separate signed investment contract will govern any investment that actually proceeds.
17.5 Sam Stoffel, any proposed investing entity identified under section 9, and our directors, employees, judges, agents and contracted service providers may enforce the protections and limitations in sections 1.4, 9 and 16 to the extent relevant to their involvement, under the Contracts (Rights of Third Parties) Act 1999. Any protection remains subject to its stated scope, section 16.2 and applicable law; the business-only reimbursement provision does not apply to consumers. Apart from those persons, nobody who is not a party has a right under that Act to enforce these terms. We and the customer may vary or terminate our contract as these terms and the law permit without a protected third party’s consent. This does not vary a separate signed agreement to which that person is a party.
